Tutor Policy

Version 1.0. Effective 12 September 2026

This Tutor Policy is an agreement between you and LingoXP LLC, a Wyoming limited liability company with a registered office at 30 N Gould St, Ste N, Sheridan, WY 82801, USA ("LingoXP", "we", "us"). If you want to offer tutoring services on LingoXP, you must read this policy and agree to be bound by it. If you do not accept it in full, you are not authorised to teach on LingoXP and you are not eligible to receive any earnings for tutoring you provide.

It operates alongside the Terms of Service, the Payment Policy, the Teaching Code of Conduct, and the Privacy Policy, each of which forms part of your agreement with us. Where this policy and the Payment Policy differ on a payment matter, the Payment Policy governs.

1. Becoming a Tutor

To become a Tutor you must submit a complete application through the platform. We review each application and approve or decline it at our discretion. Approval is not automatic and we are not obliged to give reasons.

You must be at least 18 years old and legally entitled to provide the services you offer. We may ask you at any time to provide government-issued identification, proof of address, or evidence of a qualification you have claimed, and to permit identity or background checks through a third-party provider, where this is permitted by the law that applies to you. We may suspend your account or withhold payouts if you decline a reasonable verification request.

2. Your profile and service description

You are responsible for the accuracy of everything on your profile, including your headline, biography, nationality, experience, languages, specialties, certifications, photo, introduction video, rates, and availability. You agree to describe your lessons specifically and accurately, to set expectations you can meet, to forge or overstate no qualification, degree, or work history, to advertise no third-party teaching service or platform, and to include no personal contact details such as an email address, phone number, or social media handle.

Keep your profile current. If you take a break from teaching, update your availability so you are not shown as bookable.

3. Independent contractor status

Your relationship with LingoXP is that of an independent contractor. You are not an employee, worker, agent, joint venturer, or partner of LingoXP for any purpose. You act on your own behalf and for your own benefit.

You control how you deliver your lessons, set your own rates, and choose your own availability and which requests to accept. LingoXP is not a party to the agreement between you and a Student, and is not a language services broker or agent. Nothing in this policy creates an employment relationship, and you are not entitled to employee benefits of any kind.

You are responsible for providing your own equipment and internet connection, and for any licence, registration, or permission your local law requires you to hold.

4. Platform Fee

LingoXP retains a Platform Fee of 15% from each lesson, deducted from your earnings. The balance shown to you is the amount net of that fee. Earnings are credited to your LingoXP balance once a lesson is complete.

We may change the Platform Fee. Where we do, we will tell you before the new fee takes effect, and it will not apply to lessons already booked.

5. Payouts

Payouts are sent via Wise to the bank details you provide. Payouts are subject to a minimum withdrawal amount, shown on the payout screen. LingoXP does not charge a fee to withdraw, but Wise and receiving banks may apply their own fees and exchange rates, which are outside our control.

You are responsible for the accuracy of the bank details you provide. LingoXP cannot recover a payout sent to incorrect details.

6. No circumvention

You must not take any action intended to avoid the Platform Fee. That includes suggesting, soliciting, or accepting payment outside LingoXP, arranging lessons with a Student off the platform, quoting a price different from the one agreed on the platform, or sharing contact details for that purpose.

If a Student asks you to teach or pay off-platform, remind them that lessons must be booked and paid for through LingoXP, and report it to us.

7. Withholding of payouts

Where we determine that your conduct has resulted in, or is likely to result in, a significant number of disputes, refunds, or claims from Students, we may delay or suspend payouts from your balance pending investigation.

Where we reasonably conclude that you have breached this policy or another LingoXP policy, we may adjust your balance to reverse amounts obtained in breach, and may withhold them.

8. Inactive balances

Unwithdrawn balances expire after 12 months of account inactivity, on the same terms as Wallet Credit under section 6 of the Payment Policy. Any activity on the account extends that period by a further 12 months. If your balance has expired you may contact us to request reinstatement.

9. Booking and lesson conduct

Manage all lesson requests through the platform, and respond to each request by accepting it, declining it, or proposing a different time. Do not let requests expire unanswered.

By accepting a request you agree to deliver that lesson at the time booked. Attend on time, initiate contact with the Student, and where a Student is late, remain available for the scheduled period. You are not required to make up time lost to a Student's late arrival.

Cancelling or rescheduling should be a last resort. More than 24 hours before a lesson you may cancel or reschedule through the platform. Within 24 hours a lesson cannot be cancelled, except in a genuine emergency, in which case tell the Student as soon as you are able and contact us.

10. Trial lessons

Every Tutor offers a short introductory lesson at a discounted rate, and a Student may take one trial lesson per Tutor. Trial lessons are subject to the same conduct and cancellation terms as any other lesson.

11. Code of Conduct

The Teaching Code of Conduct is incorporated into this policy and forms part of your agreement with us. A breach of the Code of Conduct is a breach of this policy.

12. Your content

You own the copyright in the materials you create and use in your lessons, including your introduction video, and LingoXP claims no ownership of them.

You grant each Student who books your lessons a right to use, view, and copy the materials you provide to them, for their own personal and non-commercial learning.

You grant LingoXP a non-exclusive, worldwide, royalty-free licence to use your profile name, photo, introduction video, and information about your lessons to market and promote the platform in any medium, including on our social media channels. We will remove your introduction video from our channels on written request. This licence ends when your account closes, except for material already published, which we will remove on request.

13. Prohibited conduct

In addition to the restrictions in the Terms of Service, you must not post false, misleading, or plagiarised information on the platform; provide lessons in exchange for positive feedback or ratings; book lessons with accounts you or an associate control in order to inflate your lesson count or rating; advertise or promote competing language services; solicit personal information from Students such as date of birth, government identification number, phone number, or home address; select Students on the basis of race, nationality, ethnicity, age, religion, disability, sexual orientation, gender, or any other protected characteristic; or record a lesson without the Student's clear consent.

14. Breach and consequences

You are in breach of this policy if you fail to deliver a lesson that has been paid for, fail to make reasonable efforts to resolve a dispute with a Student, create unacceptable levels of Student dissatisfaction, or breach any LingoXP policy.

Where you are in breach we may, at our discretion and in proportion to the breach, remove your listings, limit your account privileges, adjust, freeze, or withhold your balance, suspend or terminate your account, or contact law enforcement and pursue legal remedies.

You may close your account at any time from your settings. Lessons already booked should be delivered or cancelled with notice to the Students affected. Earnings already due to you remain payable, subject to sections 7 and 8.

15. Tax

You are solely responsible for determining, reporting, and paying any tax, social contribution, or other charge arising on income you earn through LingoXP. LingoXP does not withhold tax on your behalf unless the law requires it. Where we are legally obliged to report your earnings to a tax authority, you agree to give us the information needed to do so.

16. Governing law and disputes

This policy is governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws rules. Subject to the paragraph below, the state and federal courts located in Wyoming have exclusive jurisdiction over any dispute arising out of it.

Arbitration. Any dispute between you and LingoXP arising out of this policy or your use of the platform will be resolved by final and binding individual arbitration, administered under the rules of a recognised arbitral institution, seated in Wyoming or conducted remotely by agreement. You and LingoXP each waive the right to a jury trial and the right to bring or take part in a class, collective, or representative action. Either party may instead bring an individual claim in small claims court if it qualifies.

Opting out. You may opt out of the arbitration and class waiver in the paragraph above by emailing legal@lingoxp.com within 30 days of first accepting this policy, stating your name and that you are opting out. Opting out does not affect any other part of this policy and will not be held against you.

17. Acceptance, changes, and versions

You accept this policy when you tick the acceptance box during tutor onboarding. We record the version you accepted, the date and time, and the IP address it was accepted from. That record evidences the agreement between us, and we may provide it to our payment partners where they require proof of our contractual relationship with you.

We may update this policy. Where a change is material we will give notice before it takes effect and may ask you to accept the new version. Continuing to offer lessons after a change takes effect means the updated version applies to you. Each version carries the version number and effective date shown at the top of this page.
